GENERAL
These terms and conditions (The "Agreement") set forth the general terms and conditions of your use of the KIRAT website (The "Site"), "KIRAT" mobile application (The "Application") and any of their related products and services (collectively, "Services"). This Agreement is legally binding between you ("User", "You") and KIRAT registered address at Mosaitbeh, Roum street, Monty Marina building, 3rd flour, Beirut, Lebanon (Collectively, "KIRAT", "We", "Us" or "Our").
If you are entering into this agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this agreement, in which case the non-case sensitive terms "User", "You" shall refer to such entity. No defined terms in this agreement shall be case sensitive.
If you do not agree with the terms of this agreement, do not accept this agreement. By accessing and using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You acknowledge that this Agreement is a contract between you and KIRAT, even though it is electronic and is not physically signed by you, and it governs your use of the Services.
KIRAT reserves the right to modify or replace this Agreement at any time and in KIRAT's sole discretion. Any changes will be effective immediately upon posting the revised version. It is your responsibility to regularly check the service to determine if there have been changes to this Agreement and to review such changes. You continued use of the Service following the posting or effective date of any changes to the Agreement will constitute acceptance of any such changes. If you do not agree to the changes, you must stop using the Service.
THE APPLICATION
KIRAT is a comprehensive digital virtual gold and jewelry marketing platform that operates as an intermediary platform connecting users with certified gold stores and jewelry retailers. KIRAT is not a financial wallet, nor its regulated by the BDL. Our platform enables users to:
• Purchase digital virtual gold at prices displayed on the Platform, which are linked to the application
• Maintain a secure digital wallet
• Redeem digital virtual gold for physical gold products from our integrated vendors
• Gift digital virtual gold to other users on the platform
• Manage their portfolio through our mobile application
"Gold", or "Digital Gold", or "Digital Virtual Gold" refers to a virtual asset hosted on the KIRAT platform that may be hosted in the Wallet and redeemed with our integrated vendors.
"Digital Gold Wallet" or "KIRAT Digital Wallet" refers to the non-physical, digital wallet assigned to each user, containing the then-current value equivalent of their in-app virtual asset purchases as well as any virtual assets received through gifts (referred to as "My Wallet").
"Vendors" or "Integrated Vendors" refers to the jewelry stores integrated into the application.
"Platform" shall mean, and include, the mobile application that the User accesses for the transactions and any of their related products and services.
ACCOUNTS
Account Creation
You may be required to register and/or create an account in order to access all or certain parts of the Service. This process may involve providing your phone number and verifying it through a one-time password (OTP) via SMS. You may also be asked to select a password, user ID, and/or provide other registration and payment details (collectively, "Registration Information"). All Registration Information must be accurate, current, and truthful. You must use your real name and are prohibited from creating a false identity, misrepresenting your identity, or registering an account on behalf of another person.
Any person under the age of 18 shall not register on the Application and shall not transact on or use the Application in relation to or for any Services.
If any Registration Information changes, or if we request verification, you must promptly update it by editing your User profile within the Service. We reserve the right, at our sole discretion, to deny any username that impersonates another person, infringes intellectual property rights, or is otherwise deemed offensive.
If you register or maintain an account on the Service, you are solely responsible for safeguarding your Registration Information and for all activity carried out under your account, whether by you or by anyone you permit to use it. You may not sublicense, transfer, sell, or assign your Registration Information or this Agreement to any third party without our prior written consent. Any unauthorized attempt to do so will be void and considered a material breach of this Agreement.
Account Termination and Suspension
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. KIRAT reserves the right, at its absolute discretion, to suspend a User's Account if any transactions or activity are suspected to be fraudulent or otherwise suspicious. Should we believe that you are participating in illegal conduct or that your Account is being utilized for unlawful purposes, it may take any measures it considers appropriate. Such measures may include, without limitation, restricting your ability to access or use the Services via the Application, disabling your Account, and/or reporting the matter to the competent authorities.
You are required to notify the KIRAT without delay and in any event, no later than Fifteen (15) days prior to the relevant transaction of any anomalies, inconsistencies, or discrepancies in your Account. If no such notification is received within the prescribed time frame, the Account shall be deemed accurate and free from error.
Wallet
If you create a User Account, you will be provided with a KIRAT Digital Wallet ("My Wallet") that can be used to collect and manage your purchased gold assets.
Purchase of digital virtual gold
You can purchase digital virtual gold at the prices available through our Platform. KIRAT reserves the right to determine at its own discretion the price of virtual assets offered on the Platform, and to change said price as frequently as it deems fit without prior notification. While reasonable efforts may be made to offer You competitive pricing, there is no guarantee that the price offered to you will be as such.
Payment will be accepted through the payment options made available on the Platform, which may include redirection to a Payment Gateway hosted by another third-party website or platform. You acknowledge and agree that the Application may automatically block any transaction exceeding the limit of USD 9,999 and your account undergoes special requirements.
At the time of purchase/fulfillment/ transfer of Gold/ Gift, the relevant taxes and convenience charges will be chargeable as per government norms. It is hereby clarified that once an order is placed, you are not entitled to cancel the order, provided that an order shall stand canceled if the payment fails for any reason whatsoever. KIRAT reserves the right to cancel an order, at its sole discretion, if your information, provided prior to placing the order, is deemed unacceptable or if you are found ineligible to purchase gold. The Account shall accordingly stand amended. KIRAT shall have the right to freeze the Account until it receives KYC and other documentation in a form and manner satisfactory to it.
Once the payments are received by KIRAT and the KYC information, if requested, is found acceptable, KIRAT shall issue an invoice to you confirming the order placed within a period of business days of placing such order, in a manner, it may deem fit. Notwithstanding anything to the contrary contained in these Terms, KIRAT shall be entitled to accept or reject a User, for any reason whatsoever, at its sole discretion.
In case of rejection of an order in accordance with these Terms, where payments have been received by KIRAT or any of its Vendors, the amount will be refunded to the bank account linked to your account, subject to the platform's applicable terms and conditions.
The user acknowledges that, following the purchase, gold cannot be withdrawn or exchanged for cash, and may only be redeemed for jewelry from the app's integrated vendors.
Redemption of Gold
Subject to these Terms, a User holding Digital Virtual Gold on the Application shall have the right to redeem such holdings, in whole or in part, for jewelry available from trusted third-party vendors integrated into the Application (The "Vendors").
Users may initiate a redemption request through the Application by selecting the desired jewelry item(s) offered by the Vendor.
The gold equivalent required for the purchase shall be calculated based on the prices displayed on the application at the time the redemption request is confirmed by KIRAT. We shall not be liable for any variation in gold prices or charges applied by the integrated Vendors.
Any charges including but not limited to delivery fees, taxes, duties, or other applicable charges displayed at the time of redemption shall be borne by the User and deducted from the User's Digital Virtual Gold balance.
Once the redemption request is confirmed, We will transfer the equivalent quantity of Digital Virtual Gold to the Vendor on behalf of you. Our role is limited to facilitating the redemption transaction between the User and the Vendor and shall not be responsible for the quality, workmanship, or delivery timelines of the jewelry.
All jewelry redemptions, once confirmed, shall be final and irrevocable. No cancellations, exchanges, or returns shall be permitted except if the User receives (1) an incorrect item, (2) a damaged item, in which case the Vendor's exchange policies shall apply.
Gold Gifting
KIRAT may offer Users the ability to gift Gold purchased by the User, to a recipient of their choice. This will be offered as the "gift" feature.
KIRAT shall not be responsible for the acceptance or rejection of the "gift" by the intended Recipient, or for verifying the correctness of the mobile number or other identifying information provided for the intended Recipient by the User.
Gold gifts shall be final, and KIRAT shall not be responsible for amending, altering or otherwise reversing the transaction in case the gift is delivered to an unintended recipient due to an error on the part of the User.
KNOW YOUR CUSTOMER (KYC)
Prior to the purchase of gold, you may be required to provide certain KYC documentation and other information as may be required by KIRAT in such form and manner as it may deem fit. This information may be requested from you at the time of purchase in case your transaction exceeds USD 9,999. KIRAT shall be entitled to collect & verify your contact information via OTP or any other verification method.
You hereby acknowledge that KIRAT reserves the right for such verification either on registration of the Account or at any time thereafter. You hereby authorize KIRAT to engage with any third-party service provider for verification of your KYC documentation to ascertain your eligibility.
USER CONDUCT
You undertake not to engage in, facilitate, or contribute to any spamming, phishing, hacking, or other illegal or malicious activities. You agree to respect and not infringe upon the intellectual property rights of others, including copyrights, trademarks, and patents. You further agree not to impersonate any person or entity, create false identities, or establish accounts under false pretenses. You also undertake not to post material or make contributions on the Platform that are inappropriate, offensive, or otherwise in violation of these Terms.
By purchasing gold through the Platform, you expressly acknowledge and warrant that the funds used are legitimate, non-fraudulent, and do not constitute proceeds of money laundering or any other illegal activity.
CANCELLATION
The user may cancel their account by discontinuing use of the application. However, if the user has non-redeemed gold in their wallet, they may only redeem it for jewelry from the app's integrated vendors if the total gold value is at least USD 100. If the value is less than USD 100, the user must purchase additional gold to reach the minimum threshold for redemption; otherwise, the gold will be forfeited.
The user acknowledges that, following the cancellation, gold cannot be withdrawn or exchanged for cash, and may only be redeemed for jewelry from the app's integrated vendors.
PAYMENT TERMS AND LIABILITY
You agree to be solely responsible for the payment of all fees, charges, and other amounts associated with your use of the Platform and the Services. It is your responsibility to regularly review the Platform for the current applicable fees and charges, as these may be frequently updated without prior notice. All fees and charges paid are final, non-refundable, and non-reversible, except where otherwise required by applicable law.
All payments must be made in United States Dollars (USD). Any bank fees, currency conversion charges, or other transaction-related costs shall be borne solely by you, and the amounts payable to KIRAT shall be net of such charges.
While using any payment method(s) available on the Platform, KIRAT shall not be liable for any loss or damage, whether direct or indirect, resulting from the following reasons inter alia:
• Lack of authorization for any transaction;
• Exceeding the transaction limit set between you and your bank or payment institution;
• Any payment processing errors or technical issues; or
• Rejection or cancellation of the transaction for any reason.
In case of non-payment, partial payment, or delayed payment of any fees due, KIRAT may, at its sole discretion, suspend or terminate your account and/or refuse you access to the Platform and Services. KIRAT also reserves the right to take legal action to recover outstanding amounts.
KIRAT reserves the right to suspend, cancel, or refuse any transaction if it suspects that the payment or transaction may be fraudulent, unauthorized, or in violation of any applicable anti-money laundering (AML) or counter-terrorism financing laws.
LIABILITY & DISCLAIMERS
The use of "KIRAT" is at your own risk. The app developer, its affiliates, partners, and employees shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with your use of the App, including but not limited to damages of data, computer viruses or other intangible losses, even if the app developer has been advised of the possibility of such damages. In no event shall the app developer be liable for any damages, losses, or liabilities, including without limitation, negligence, gross negligence, or any other basis of liability, arising from or in connection with your use of the App, its content, or any services or items obtained through the App.
By using the App, you agree to release, indemnify, and hold harmless the app developer from any and all claims, liabilities, expenses, or damages arising out of your use of the App.
WE MAKE NO WARRANTIES THAT i) THE APPLICATION WILL MEET YOUR REQUIREMENTS, (ii) THE APPLICATION WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE APPLICATION WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL THAT YOU OBTAIN THROUGH THE APPLICATION WILL MEET YOUR EXPECTATIONS, OR (v) ANY ERRORS WILL BE CORRECTED. WE DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRIGEMENT. NEITHER KIRAT NOR ITS SUPPLIERS AND LICENSORS, MAKES ANY WARRANTY THAT THE WEBSITE/APPLICATION WILL BE ERROR FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED. THE WEBSITE MIGHT HAVE CONTENT THAT VIOLATES THE PRIVACY, PUBLICITY RIGHTS, OR INFRIGEMENT ON INTELLECTUAL PROPERTY AND OTHER PROPRIETARY RIGHTS OF THIRD PARTIES. KIRAT DICLAIMS ANY RESPONSIBILITY FOR ANY HARM RESULTING FROM THE USE BY VISITORS OF THE WEBSITE.
YOU UNDERSTAND THAT YOU DOWNLOAD FROM, OR OTHERWISE OBTAIN CONTENT OR SERVICES THROUGH, THE WEBSITE AT YOUR OWN DISCRETION AND RISK.
EXTERNAL LINKS AND THIRD-PARTY INTEGRATION
KIRAT may offer integration with third-party applications including but not limited to Vendors, or services to enhance the user experience. While we strive to ensure the quality and security of these integrations, we cannot be held responsible for any damages or issues that may arise from the use of these third-party applications. You are encouraged to review the terms and conditions of these integrated applications and to use them at their discretion. KIRAT, disclaims any liability for any consequences resulting from the use of such integrated applications.
The Site and our mobile application may contain (or you may be sent through the Site or our mobile application) links to other websites or content belonging to or originating from third parties or links to websites and features in banners or other advertising. Such external links are not investigated, monitored, or checked for accuracy, adequacy, validity, reliability, availability or completeness by us. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR THE ACCURACY OR RELIABILITY OF ANY INFORMATION OFFERED BY THIRD-PARTY WEBSITES LINKED THROUGH THE SITE OR ANY WEBSITE OR FEATURE LINKED IN ANY BANNER OR OTHER ADVERTISING. WE WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
INTELLECTUAL PROPERTY RIGHTS (IP)
You are not granted any ownership rights or licenses to use such intellectual property. This could include trademarks, logos, copyrighted content, proprietary software, designs, trade secrets, and any other assets owned by KIRAT or Third-Parties including but not limited to Vendors.
You are prohibited from:
• Reproducing, Copying or Distributed owned content without explicit permission.
• Modifying, Altering, or Creating derivative works based on owned materials.
• Using trademarks or logos without prior written consent.
• Sharing or Disclosing trade secrets or proprietary information.
• You must not Upload, Post, or Share any content that violates the intellectual property rights or the rights of third parties.
USE OF FUNDS
By purchasing Digital Virtual Gold through the Application, the User expressly acknowledges and agrees that any monies paid to KIRAT in exchange for Digital Virtual Gold are not held in escrow, trust, or any form of custodial arrangement, and shall not be deemed "frozen" or reserved until such time as the User elects to redeem the Digital Virtual Gold for jewelry in accordance with these Terms. KIRAT shall have the absolute right to use, invest, or otherwise deal with such funds at its sole discretion, without any obligation to obtain the User's consent or provide notice, and without any liability to account for any profits, gains, or benefits derived therefrom.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and interpreted and construed in accordance with the Lebanese Laws.
Any dispute, controversy or claim arising out of or relating to this contract, its interpretation, execution, the termination or invalidity thereof, shall be settled by arbitration in accordance with the Rules of Arbitration of the Lebanese Arbitration and Mediation Centre of the Beirut and Mount-Lebanon Chamber of Commerce, Industry and Agriculture.
SEVERABILITY
You agree that in the event any article or part thereof of this Agreement is held to be unenforceable or invalid then said article or part shall be struck and all remaining provision shall remain in full force and effect.

ACCEPTANCE OF TERMS
